1. Agreement to Terms
By accessing or using the Forest platform (the “Platform”), you (“the Customer”) agree to be bound by these Terms and Conditions. If you are entering into this agreement on behalf of a company, you represent that you have the legal authority to bind that entity.
2. The Service
Forest provides a cloud-based SaaS platform for finance, strategy, and execution teams, facilitating xP&A and EPM processes including:
- Financial planning and forecasting.
- Operational data consolidation.
- Strategic execution tracking.
3. Subscription and Fees
- Fees: Fees are based on the subscription tier and number of “Authorised Users” specified in your Order Form.
- Payment: All invoices are payable within 30 days unless otherwise agreed. Forest reserves the right to suspend access for accounts with overdue balances exceeding 14 days.
- Taxes: All fees are exclusive of VAT, which shall be added at the prevailing UK rate.
4. Proprietary Rights and Licence
- Licence Grant: Forest grants the Customer a non-exclusive, non-transferable, revocable licence to access the Platform for internal business purposes during the term.
- Ownership: Forest Software Ltd retains all rights, title, and interest in the software, algorithms, and documentation. No ownership is transferred to the Customer.
- Restrictions: The Customer shall not:
- Reverse engineer or decompile any part of the Platform.
- Attempt to build a competing product using the Platform’s logic or UI.
- Sublicense or resell the Service to third parties.
5. Data and Privacy
- Customer Data: The Customer retains ownership of all data uploaded to the Platform. Forest is granted a limited licence to host, process, and display this data solely to provide the Service.
- Data Protection (UK GDPR): Both parties will comply with the UK Data Protection Act 2018 and UK GDPR. Forest acts as the Data Processor, and the Customer acts as the Data Controller.
- Security: Forest employs industry-standard encryption and security protocols to safeguard financial and strategic data.
6. Service Levels and Support
- Uptime: Forest targets a 99.9% availability (excluding scheduled maintenance).
- Support: Technical support is available via [Insert Support Email/Portal] during UK Business Hours (09:00–17:00 GMT/BST).
7. Limitation of Liability
- Cap: To the maximum extent permitted by English law, Forest’s total liability for any claim arising out of this agreement shall not exceed the total fees paid by the Customer in the 12 months preceding the claim.
- Exclusions: Forest is not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities resulting from planning or execution decisions made using the Platform.
8. Term and Termination
- Term: The initial term is set out in the Order Form (typically 12 months).
- Termination for Cause: Either party may terminate the agreement immediately if the other party commits a material breach that is not cured within 30 days of notice.
- Data Export: Upon termination, the Customer has 30 days to export their data, after which Forest may delete all Customer Data from its production servers.
9. Governing Law
This Agreement and any disputes arising from it are governed by the laws of England and Wales, and both parties submit to the exclusive jurisdiction of the English courts.
